Article I – Name

The name of this organization shall be the St. James Academy Alumni Association.

Article II – Purpose

The purpose of the Association will be to coordinate the activities of the alumni of St. James and to promote active interest in St. James among the alumni and in the community. This should include but not be limited to financial support and strengthening relations among the school, the community and the alumni.

Article III – Membership

Section 1.
Membership in the Association shall be open to all graduates of the school and those who have completed at least one academic year.

Section 2.
The Alumni Council may from time to time name honorary members.

Article IV – Alumni Council

Section 1. Organization
The governing body of the Association shall be the Alumni Council. It shall be comprised of a chair, volunteer class representatives and an alumni member of the Board of Trustees. The Head of the Academy and the Development Director shall serve as ex-officio members.

Section 2. Duties of the Officers and Representatives
A. The Chair shall preside at all meetings and perform duties pertinent to the office.

B. The Alumni Council shall nominate from the alumni members of the Board of Trustees a liaison to the Alumni Council.

C. The Development Director acts for St. James Academy and is responsible for overseeing the association’s activities and transactions. Any monies raised for the Alumni Association will be organized by the Development Director and processed by the Business office.

D. Each graduating class may have at least one and preferably two volunteer representatives and the representatives of such graduating classes shall serve on the Alumni Council. Without limiting to the following, the class representatives shall promote alumni and school events by contacting classmates, participating in school fundraising and helping maintain updated information on fellow classmates.

Section 3. Committees
A. Committees shall be formed by the Chair of the Alumni Council with the approval of the Alumni Council.

B. The duties of the committee shall be determined by the Council Chair.

C. The Chair of the Alumni Council, Head and Development Director of St. James Academy shall be ex-officio members of committees, without the power to vote.

D. The majority of any committee shall be members of the Alumni Association, but persons who are not members of the Association may serve as additional members. No member of the Association shall serve on more than three committees.

Section 4. Election of Officers and Representatives
A. The Council Chair shall be nominated by the Alumni Council. The Chair shall serve a two-year term. A simple majority of Alumni Council voting at the election meeting shall be sufficient for election.

B. Class Representatives shall serve an unlimited term.

Section 5. Meetings
A. The Alumni Council shall meet at least twice a year. Additional meetings shall be called as needed by the Council Chair.

B. There shall be at least one Alumni Association meeting each year, which can be held in conjunction with a planned event.

Article V – Finances

There shall be no Alumni Association dues. Every member shall be requested to contribute to the Academy through Annual Giving.

Article VI – Fiscal Year

The fiscal year of the Association shall coincide with the fiscal year of the Academy, which begins on the first day of July each calendar year.

Article VII – Parliamentary Authority

Robert’s Rules of Order Newly Revised (current edition) shall be the parliamentary authority for all matters not specifically provided in these By-laws.

Article VIII – Amendments

The By-laws shall be reviewed every two years by the members of the Alumni Council or an appointed committee. Proposed amendments to the By-laws shall be presented at an Alumni Council meeting. A majority of the Alumni Council voting at the meeting shall be required to approve any amendments.
